NDTV and Adani Enterprises were placed under short-term additional surveillance by stock exchanges in the last week of May, following a steep rally in the stock prices after a Supreme Court-appointed panel found no evidence of stock price manipulation in the group companies. Stocks are moved into the short-term or long-term additional surveillance framework by exchanges in order to warn investors of unusual movement in share prices. The stock exchanges place trading restrictions to curb volatility and potential losses to retail investors. On Tuesday, NDTV stock fell by a marginal 0.92% at Rs 236.70 on the NSE. In the last one month, the stock had jumped nearly 31% amid a spate of positive news flow, which included NRI investor Rajiv Jain increasing the stake and fundraising plans. The prepaid loans include a margin-linked share-backed financing of $2.15 billion, which the company had paid off by March 12 before its March 31 deadline. The group had also prepaid $500 million of debt taken for the acquisition of Ambuja Cement along with $203 million interest in March. Scrutiny on the Adani Group's debt profile has increased since a US-based short-seller published a report alleging rampant fraud and stock manipulation at the ports-to-cooking-oil conglomerate. The resignation came a day after NDTV said an entity backed by the founders had issued shares to a unit of Adani Group, taking billionaire Gautam Adani-led conglomerate a step closer to controlling the media firm. The promoter group vehicle, which owns a 29.2% stake and is the largest shareholder of NDTV, approved the appointment of Sudipta Bhattacharya, Senthil Sinniah Chengalvarayan, Sanjay Pugalia as directors on its board, NDTV said in a regulatory filing. NDTV's latest shareholding pattern at the end of the September quarter shows that promoters Prannoy Roy and Radhika Roy own 15.94% and 16.32% stakes in the company. RRPR owns a 29.18% stake in NDTV. NDTV share price jumped more than 3% today to Rs 380 apiece on BSE, after Gautam Adani-led Adani group made a move to acquire a controlling stake in the television news network on Tuesday. NDTV stock has risen 42.17% in the last one month, while it has skyrocketed 186.49 per cent in the last six months. On a year-to-date (YTD) basis, NDTV share price has soared 237.71%. NDTV stock hit a new 52-week high for the second consecutive day on Wednesday. Adani’s media unit AMG Media Networks Ltd has exercised the rights to convert the outstanding loan to NDTV’s holding company, resulting in acquisition of a 29.18% stake in NDTV. Also read: Thereafter, the Adani unit will launch an open offer as required by capital markets regulator SEBI (Securities and Exchange Board of India) to buy another 26 per cent in the company from shareholders at Rs 294 per share, the company said in a stock exchange filing.
